Any experience with 940-2 vs 940-1?

I currently have a 940-1 but am considering downgrading to the 940-2 to save a little money.

I'm not a hard user so I don't need the upgraded steel. The weight differences are negligible. Not sure how the G-10 stacks up against the CF as far as texture and grip goes.

Anyone with first hand experience with both that can share their thoughts on these models?

The G10 is perfectly fine. I love the G10 scales on the 940-1501, for example. The problem (to me, at least) with the 940-2, is that the scales have a slightly different shaping to them. In my hand, it created a different feel, and I didn't care for it. It may have been fine over time as I got used to it, but I didn't give it a chance.
Again, if you can get a chance to feel it in your hand first, it's worth the effort.
 
I wanted the 940-1, but found the 940-2 on sale. The scales are very smooth and I normally prefer more grip than the 940-2 provides. However I think I'll keep it. It slides so easily in and out of the pocket, and with the extremely smooth action right out of the box and a deep carry clip, it has become my stealth knife. Could have been smaller, but with all the smoothness it goes pretty much unnoticed. It is actually my weekend carry for the first time this week, and so far it's been a very positive experience.

It was a weekend sale a few months ago, and anyways I live in Norway, so probably not very relevant to you :-)
I paid the Norwegian equivalent of 160 USD incl. VAT and shipping. Thats a very good price around here. More often than not, it actually pays off for me to order from US stores.
