If the locking mechanism on a Spyderco gives out can/will it be repaired or replaced?

Probably, assuming the knife is still in current production and/or parts are still available. Only Spyderco could tell you about a specific knife at a specific time. All manufacturers eventually run out of parts after a model has been discontinued.

It depends on what you mean by gives out. If it gives out due to a defect, it will be repaired or replaced. However, like any other moving parts, locks wear out. Normal wear an tear is not covered under the warranty. Like most other things locks can also be beaten to death and, like most things made of steel, they can be damaged by rust and foreign objects if not cared for. The warranty does not cover damage due to abuse or neglect.
