For me (in no particular order):

distinguishable design
good steel (higher grade steels like VG10, S30V, 154CM, ATS34, and newcoming supersteels :))
tip down carry
manual (NO springs in any form)
properly executed lock
no bladeplay and centered blade
no "tanto" or chisel grind

The perfect knife for me has to be a framelock, blade of higher end steel;S30V (I would love a knife with a talonite blade.)etc., centered balde, no blade play, has to be one hand opening; I prefer thumbstuds, and smooth to open, and it needs a pocket clip. I prefer Titanium framelocks above all else. It also has to have an aesthetic appeal for me as well.
 
The perfect knife would never grow dull with usage. It would be strong enough to pry nails out of boards, split hard wood into kindling, slice a tomato, cut steel, trim my finger nails, slice a deer hide like it was butter, have a homing device on it when you set it down and can't find it, would scare away any possible aggressor, fits in my pocket, and looks good. I'm not hard to please.

All good features, and I'd add: no combo edge.
 
A god knife should have a sharp blade, everythign else is personal taste...nut we all agree it has got to be sharp!!!
 
An axis lock.
A good blade, D-2 or M-2
Razor sharp.
no clip (I removed mine)
Be about 4 inches in the blade.
Easy to sharpen, and holds edge forever

In short, a Benchmade 710 D2 or M2:D
 
soul. a perfect knife has to have soul. It has to have strong steel crafted lovingly hopefully by hand by a maker with many years of experience.

and it has to have a strong sense of identity and purpose. as well has be strong and sharp! A perfect knife sings to you silently!
 
My knife would be

plain edge (combo edge is evil)
good steel,
hollow ground
D2
comfortable handle, that you could hold forever
around 60 RC
oh, and it can turn invisible with just a thought and turn visible again the same way, that way, i can respect my wifes family and not have my knife showing around them, but still have it with me.
oooh, and maybe a laser hidden in the handle, the cat would like that.
 
Some things not yet mentioned (I think):
>Lanyard hole large enough to take paracord

For fixed blade:
>Full tang
>Mild finger guard (very mild)
>Butt or exposed tang that facilitates some pounding

For folder:
>non-chipping clip (uncoated?)
>opening aid (hole or stud) that works both right & left handed
>easily cleanable - either dissassemble or good access
