I am looking to get a knife that meets the below criteria. It will be used as an all around camp and kayak fishing knife, with a primary focus on cleaning trout, and food preparation. It will be submerged in freshwater somewhat frequently and may be occasionally submerged in saltwater. It need not be that great at wood cutting or carving.

Criteria:
Good rust resistance
3.5-4"
FFG (this is a must)
<1/8" thick
Some form of synthetic handle
< $150 w/o sheath

Anybody have any ideas?

Fishing knife and all around camp knife make for a difficult combo. I just came back from the beach and did some surf fishing. I used a Warther 4 1/2" fishing knife in S35V. It runs about $80 or so with the sheath. I liked it better than the Fallkniven F2 in VG10, another 4 1/2" blade (about $110). The F2 is 2.5 mm thick, but the Warther is about 2mm thick and makes for better slicing and cleaning (and food prep). The Warther is more like a traditional boning knife, while the Fallkniven is more general purpose. I greatly prefer the S35V and the thinner blade for cleaning and dealing with fish.
If you want to spend more, there is a bird and trout by Bark River, and a similar, but heavier Sprig in S90V by Spyderco. The Spyderco is more expensive than the other options I mentioned. Incidentally, the Warther knives have laminated wooden Handle's, but they should do OK. The other options have synthetics. Also, Moki makes a 3 1/2" bird and trout in VG10 that is a bit over $100 or so. It is certainly within your budget.

Grohman bird and trout comes in ffg and fits your criteria

I would go with two knives, one for camp tasks/food prep and one for filleting fish. Or, go with a fillet knife for both. Using a non-flexible camp knife to fillet trout will be inefficient, cumbersome, and be much more likely to waste your valuable catch.
