Was wondering that too. And one shows the asterisk meaning it is required, but the other doesn't, yet you do have to do both. I just ended up putting the same thing in both.
 
The comment section is just an area where you can put a more detailed reply. If you click on the feedback for a deal, the comment will show up
 
How do I leave feedback on a trade or sell made in a knife makers forum? Won't allow me to add a thread url.
 
What's the URL of the deal thread?
 
Zippo2 Zippo2 That's not a normal exchange thread, and therefore you cannot use that to create feedback. (Similar to a transaction taking place via PM.)

If you two want to leave feedback for each other, you will need to create a thread on the exchange for the deal as a placeholder, and you both will need at least one post in it.
